Terms of Service

These Terms constitute a legally binding agreement between you and Blue Athena LLC, a limited liability company registered in Oregon, governing your use of Rolio at https://getrolio.app.

1. Definitions

• “Service” — the Rolio member directory platform at getrolio.app
• “Admin” — an individual with administrative access to manage a directory
• “Member” — an individual whose information is stored in a directory
• “Organization” — a church, nonprofit, club, association, or other entity using Rolio
• “Content” — any data, text, photos, or materials uploaded to the Service
• “Subscription” — a paid plan providing access to the Service

2. Eligibility and Account Registration

2.1 You must be at least 18 years old to create an Admin account. You represent that you have legal authority to enter into these Terms on behalf of your organization.

2.2 You agree to provide accurate information, maintain password security, notify us of unauthorized access, and accept responsibility for all activity under your account.

2.3 Each organization may maintain one primary Rolio account. Multiple accounts to circumvent plan limits are prohibited.

3. Subscription Plans and Billing

3.1 Plans

• Trial: Free, limited features, up to 25 members
• Starter: $19/month — up to 250 members, 1 admin seat
• Pro: $49/month — unlimited members, 3 admin seats
• Organization: $99/month — unlimited members and admins, white-label, API access
• AI Power Bundle: $29/month add-on — AI chatbot, semantic search, automated reports

Annual billing available at 20% discount.

3.2 By subscribing, you authorize recurring charges until cancellation. Payments processed by Stripe, Inc.

3.3 Refund Policy: 30-day free trial on all paid plans. After trial, subscriptions are non-refundable except as required by law. Access continues until end of billing period.

3.4 Plan Downgrades: Existing member records preserved. New members cannot be added if count exceeds plan limit.

3.5 Failed Payments: We notify by email and retry. Access restricted after 14 days, account may be suspended after 30 days of non-payment.

4. Acceptable Use

4.1 Permitted Use: Use the Service lawfully for managing member directories and communicating with members.

4.2 Prohibited Activities

• Storing or distributing illegal content
• Collecting data without consent or in violation of privacy laws
• Sending spam or unsolicited commercial communications
• Impersonating any person or entity
• Unauthorized access to accounts or systems
• Automated scraping of data
• Interfering with or disrupting the Service
• Circumventing security features
• Storing sensitive data (health info, SSNs, financial account numbers) without written consent
• Reselling access without written permission
• Violating any applicable law

4.3 Member Data Responsibility: As Admin, you are the data controller. You represent you have obtained all necessary consents, have a legitimate purpose for each data field, will honor Member requests, and will comply with all applicable privacy laws including GDPR.

4.4 AI Feature Use: AI-generated content must be reviewed before use. You will not use AI features to generate deceptive content. AI outputs are suggestions only — you retain full responsibility for actions taken.

5. Content and Intellectual Property

5.1 You retain ownership of your Content. You grant Blue Athena LLC a limited license to store and process Content solely to provide the Service.

5.2 The Service, design, code, and trademarks are owned by Blue Athena LLC. No copying, modification, or resale without written permission.

5.3 Feedback you provide may be used by us without restriction or compensation.

5.4 DMCA: Report copyright infringement to legal@getrolio.app.

6. Privacy

Your use is governed by our Privacy Policy, incorporated by reference.

7. Third-Party Services

The Service integrates with Stripe, Resend, Cloudflare, and Anthropic. Subject to their respective terms. We are not responsible for third-party practices.

8. Disclaimers

8.2 We do not warrant uninterrupted or error-free availability. We may modify or discontinue the Service at any time.

8.3 AI-generated content is for informational purposes only. We make no warranties regarding accuracy of AI outputs. You are responsible for reviewing AI content before use.

8.4 We are not responsible for the accuracy of member data entered by Admins.

9. Limitation of Liability

10. Indemnification

You agree to indemnify Blue Athena LLC from claims arising from your use of the Service, violation of these Terms, violation of third-party rights, your Content, or violation of applicable law.

11. Termination

11.1 You may terminate by cancelling through the billing portal or contacting support.

11.2 We may suspend or terminate accounts for: violation of Terms, non-payment, illegal activity, or harm to other users.

11.3 Upon termination: access ends, data retained 90 days for export, then permanently deleted. Surviving provisions include IP rights, disclaimers, indemnification, and limitation of liability.

12. Governing Law and Dispute Resolution

12.1 Governed by the laws of the State of Oregon, United States.

12.2 Contact legal@getrolio.app to attempt informal resolution before filing claims. We will try to resolve within 30 days.

12.3 Unresolved disputes settled by binding arbitration (American Arbitration Association) in Oregon.

12.5 Either party may seek injunctive relief for IP infringement without arbitration.

13. General Provisions

• 13.1 Entire agreement with Privacy Policy.
• 13.2 Severability — invalid provisions severed, rest remains.
• 13.3 Waiver — failure to enforce is not a waiver.
• 13.4 Assignment — you may not assign without consent; we may assign freely.
• 13.5 Notices to Blue Athena LLC: legal@getrolio.app
• 13.6 We may update Terms with email notice. Continued use = acceptance.
• 13.7 Force majeure — not liable for circumstances beyond reasonable control.
